1. Acceptance of Terms
By accessing and using EzUGC ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
2. Description of Service
EzUGC is an AI-powered platform that enables users to create user-generated content (UGC) style videos, static advertisements, and virtual product demonstrations using artificial intelligence technology. The Service includes:
- AI avatar generation and customization
- Video creation with AI-generated actors
- Static advertisement generation
- Product visualization tools
- Script writing and editing tools
3. User Accounts
To access certain features of the Service, you must create an account. You are responsible for:
- Providing accurate and complete information
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- You are responsible for all use of the Service under your account, including use by teammates, employees, contractors, clients, invited users, API keys, and automations, and by anyone using your credentials.
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to use the Service. If you use the Service on behalf of a business or other organization, you represent that you have authority to bind that entity to these Terms.
4. Subscription and Payment
EzUGC offers paid subscription plans. By purchasing a plan:
- You authorize us to charge your payment method on a recurring basis
- Subscription fees are billed in advance
- You may cancel your subscription at any time
- Refunds are subject to our Refund Policy
- Each plan includes usage entitlements (for example, a monthly video-generation allotment). A generation counts against your plan quota when it is successfully delivered, as defined in Section 7 β regardless of whether you choose to use or download the resulting output.
- Pay-as-you-go / overage billing. Pay-as-you-go billing begins only after an affirmative action on your account, checkout, settings, or written approval flow that identifies the applicable rates and any stated caps at the time you enable it. By enabling pay-as-you-go and continuing to submit generations after your included entitlement is exhausted, you authorize charges for each additional successfully delivered generation. Disabling pay-as-you-go stops future overage usage but does not remove charges for generations already successfully delivered. Any rate changes apply only prospectively after notice or updated in-product disclosure. Where pay-as-you-go billing is enabled on your account β whether through the plan you select, an add-on you purchase, or an explicit opt-in you provide β usage that exceeds your plan's included entitlements is billable at EzUGC's then-current published overage rates for each additional successfully delivered generation (as defined in Section 7). Applicable overage rates, any per-unit or per-cycle caps, and the mechanism by which pay-as-you-go is enabled on your account are posted on our pricing page at https://www.ezugc.ai/pricing or otherwise communicated to you before any overage charge is assessed. Pay-as-you-go is not enabled merely because you purchase a subscription plan, unless the checkout or plan terms expressly state that overage billing is included and you accept those terms before purchase.
Subscription plans renew automatically at the end of each billing period at the then-current interval and price until you cancel. You can cancel at any time through your account settings or by contacting [email protected]. Cancellation stops future renewals; your access continues through the end of the period you have already paid for, and no partial refunds are provided for that remaining period except as described in our Refund Policy.
5. User Content
You retain all rights to the content you upload to EzUGC. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your content solely for the purpose of providing the Service.
You represent and warrant that:
- You own or have the necessary rights to use all uploaded content
- Your content does not infringe on any third-party rights
- Your content complies with all applicable laws and regulations
6. Prohibited Uses
You agree not to use the Service to:
- Create content that is illegal, harmful, or offensive
- Impersonate any person or entity without permission
- Create deepfakes or misleading content without proper disclosure
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Distribute spam or malware
- Attempt to reverse engineer or hack the Service
- Resell, sublicense, rent, share, or otherwise provide access to the Service or to your API keys to any third party, except as expressly permitted by the plan you purchased.
- Pool, share, or transfer account access or usage entitlements across multiple users or organizations to circumvent plan limits or pricing.
7. AI-Generated Content and Delivery
The Service uses generative artificial-intelligence models (including third-party models operated by providers such as Google, ByteDance, OpenAI, Kling, Runway, and others) to produce video, image, audio, and text outputs from prompts, reference images, and other inputs you supply. The framework below explains how outputs are produced, how we determine when a generation has been delivered, and what each of us owes the other along the way.
7.1 How generative AI works
AI outputs are inherently probabilistic and non-deterministic. The same prompt or input can produce meaningfully different outputs on different runs. The underlying models are developed and operated by third parties, and their internal behavior, training data, biases, and stylistic tendencies are outside EzUGC's control. All AI-generated outputs are provided βas is,β without any warranty of accuracy, likeness, style, prompt adherence, fitness for a particular purpose, or non-infringement.
7.2 Prompting is a skill β and we'll help
The quality of the outputs you receive is meaningfully affected by the quality of the prompts, reference images, and other inputs you provide. Getting an output you're happy with often takes iteration: refining prompts, changing reference material, adjusting parameters, or trying a different model. This is a normal part of working with generative-AI tools. We publish guidance and examples to help, and if you're not getting the output you want, please email [email protected] β we'd rather help you succeed than have you feel stuck.
7.3 Successful delivery
Because we cannot control the specific content a third-party AI model produces from a given prompt, delivery is measured by whether a rendered output was produced and made available to you. A generation is successfully delivered when the Service returns a rendered output β for videos, a playable video file at the requested or substantially equivalent duration, allowing for ordinary encoding, provider, and player variance; for images, a rendered image; for audio, an audio file; for text, a text response β and makes it available in your account for download and use. Once a generation is successfully delivered:
- It counts against the applicable quota under your plan, regardless of whether you subsequently choose to use, download, keep, or delete the output.
- Where pay-as-you-go billing is enabled on your account (see Section 4), a successfully delivered generation that exceeds your plan's included entitlements is chargeable at the then-current published overage rate.
Delivery does not require that you download, publish, or personally view the output, or that we send a separate email or notification. Temporary download-link expiration, user deletion, local browser/device issues, or a decision not to use the output do not make a successfully delivered generation undelivered, so long as the output was rendered and made available through your account at the time of delivery.
Because model output quality is inherently outside our control, our default rule is that successful delivery is measured by whether the output was produced β not by whether it matched your subjective creative expectations. Our Refund Policy describes when we make exceptions to this default (including for technical errors on our side, first-time-subscriber refunds, and case-by-case refunds for genuine non-usage of your subscription).
7.4 Failed generations
If the underlying AI model returns an error, times out, or otherwise fails to produce any output, the Service will mark the generation as failed. Failed generations do not consume plan quota and do notincur pay-as-you-go / overage charges. You may re-attempt the generation at no additional cost.
7.5 If something goes wrong on our side
If the Service charges quota, a subscription fee, or a pay-as-you-go fee in error β for example, if quota is deducted for a generation that did not actually render, if a billing amount looks wrong, or if a technical issue on our infrastructure caused a charge you don't recognize β please email [email protected]. We will investigate and, where appropriate, restore quota, issue a credit, or refund the charge. Fixing errors on our side is part of what your subscription pays for.
A technical error on our side means a verified issue with EzUGC-controlled billing, quota tracking, job submission, account access, storage, or delivery systems. It does not include ordinary model variation, prompt interpretation, aesthetic dissatisfaction, likeness issues, artifacting, safety refusals, provider limitations, or results caused by the prompt, reference materials, settings, browser, device, or network environment, unless our records show that EzUGC failed to submit or return the generation as intended.
7.6 Review before use
AI outputs may contain inaccuracies, hallucinations, artifacting, likeness errors, or content that does not match your intent. You are responsible for reviewing any output before publishing, distributing, or otherwise relying on it, and for disclosing AI-generated content where required by applicable law or by the terms of the platforms on which you publish it.
7.7 What EzUGC commits to you
In exchange for your subscription and any applicable pay-as-you-go fees, EzUGC commits to:
- provide access to the features and entitlements described in the plan you purchased, subject to reasonable service availability and maintenance;
- accept the generations you submit, forward them to the applicable AI model, and return the rendered output to your account when the model produces one;
- not charge you (via quota, subscription, or pay-as-you-go) for generations that did not successfully render;
- correct billing or quota errors on our side promptly when you bring them to our attention through [email protected];
- provide reasonable, human support at [email protected] and review refund requests in good faith under our Refund Policy;
- give notice of any material changes to these Terms as described in Section 13.
7.8 Rights in AI outputs
Subject to these Terms, applicable law, your rights in the inputs you provide, and the terms of the third-party model providers, you may use the outputs you successfully generate through the Service, including for commercial purposes. Because outputs are produced by third-party generative-AI models, EzUGC does not guarantee that any output is exclusive to you, is eligible for copyright or trademark protection, clears third-party likeness or publicity rights, or is free of third-party rights. You are responsible for reviewing outputs and securing any rights or clearances your intended use requires.
8. Intellectual Property
The Service and its original content (excluding user content) are owned by EzUGC and are protected by international copyright, trademark, and other intellectual property laws.
9. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.
Data-deletion requests are handled as described in our Privacy Policy. Even after deletion, we may retain limited records where necessary for billing, security, legal compliance, dispute resolution, and confirmation that a generation was delivered.
10. Disclaimers and Limitations of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZUGC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
IN NO EVENT SHALL EZUGC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.
Nothing in these Terms limits rights that cannot be waived under applicable law, or liability for fraud, willful misconduct, or other liability that cannot legally be limited.
11. Indemnification
You agree to indemnify EzUGC and its affiliates from third-party claims, damages, or reasonable expenses arising from your uploaded content, your unlawful use of the Service, your violation of these Terms, or your infringement of another party's rights, except to the extent caused by EzUGC's own unlawful conduct or material breach of these Terms.
12. Termination
We reserve the right to terminate or suspend your account at any time for violation of these Terms or for any other reason at our sole discretion.
If we terminate access without cause during a prepaid subscription period, we will provide a pro-rated refund for the unused portion unless termination is due to your violation of these Terms, misuse of the Service, legal risk, nonpayment, or fraud.
13. Changes to Terms
We may update these Terms from time to time. For material changes, we will provide notice by posting the updated Terms, updating the "Last updated" date, and using reasonable additional notice where appropriate, such as email or in-product notice. Updated Terms apply prospectively from their stated effective date. Your continued use of the Service, renewal, or purchase after the effective date means you accept the updated Terms. Changes will not retroactively alter charges or refund eligibility for billing periods that ended before the effective date, except where required by law.
If you do not agree to updated Terms, your remedy is to stop using and cancel the Service before the updated Terms take effect; the Terms you previously accepted continue to govern periods before the effective date, except where the law requires otherwise.
14. Dispute Resolution; Binding Arbitration; Class Action Waiver
By creating an account, purchasing a subscription, or using the Service, you and EzUGC agree to resolve disputes through the process below.
Informal process first: Before filing a claim, the party raising the dispute must send written notice to [email protected] and allow up to 60 days for good-faith resolution.
Binding arbitration: If a dispute is not resolved informally, it will be resolved by final and binding arbitration administered by JAMS under its then-current Streamlined Arbitration Rules and Procedures, except that either party may bring an individual claim in small claims court where permitted.
Arbitration will be conducted by one arbitrator in English. Hearings may be conducted remotely unless the arbitrator requires otherwise. If an in-person hearing is required, the default location is San Francisco County, California, unless the parties agree to a different location.
YOU AND EZUGC WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
This section does not prevent either party from seeking injunctive or equitable relief in court for intellectual property misuse, unauthorized access, or other urgent harm.
Opt-out right: You may opt out of arbitration by emailing [email protected] within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your account email.
If any part of this dispute-resolution section is found unenforceable, the remainder will remain in effect to the maximum extent permitted by law. Arbitration fees and procedures will be handled under the applicable JAMS rules, and nothing in this section prevents either party from using small claims court where permitted.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law rules. For any dispute not subject to arbitration, you and EzUGC agree to exclusive jurisdiction and venue in the state or federal courts located in San Francisco County, California.
